At Seraama Bespoke Lawyers, we combine over 20 years of international legal experience with a refined approach to modern legal consultancy.

From legal templates and compliance support to company formation and fiduciary services in Switzerland, we offer clarity where it matters most.
01

Swiss Company Formation

Switzerland is one of the world’s most respected jurisdictions for corporate domicile.  Its political stability, strong rule of law, robust banking infrastructure, and extensive double-tax treaty network make it an attractive base for holding companies, trading entities, and operational businesses targeting European and global markets.

Seraama manages the complete formation process for both GmbH and AG structures, coordinating all notarial, commercial register, and statutory requirements.  For non-resident founders specifically, we navigate the requirements that are frequently underestimated: the mandatory Swiss residency requirement for directors, the capital deposit process, and the selection of a viable banking partner before the company can be formally incorporated.

What This Covers
We advise on entity type selection based on your governance requirements, investor expectations, and likely future capital structure. There is no single right answer between a GmbH and an AG — the decision turns on your specific circumstances, and we will work through that with you before any filings are made.
02

Resident Director Services

Swiss law requires that a majority of a company’s board of directors, or at minimum one director with authority to represent the company, must be domiciled in Switzerland. This is a hard statutory requirement under the Swiss Code of Obligations. It cannot be waived, and failure to maintain compliant directors puts the company at risk of enforced dissolution.

Seraama provides a qualified Swiss-resident director service that satisfies this statutory obligation while preserving the founder’s operational and strategic control. Our resident director function is not a passive or cosmetic service — we take our statutory duties seriously and ensure the company operates within its constitutional documents at all times.

What This Covers
Our resident director service includes a framework agreement clearly delineating the scope of the director's authority and the obligations of the beneficial owner. This protects both parties and ensures the structure is legally coherent.
03

Registered Office

Every Swiss company must maintain a registered office address in Switzerland. This address appears on the Commercial Register and constitutes the company’s official legal domicile for service of process, regulatory correspondence, and public record purposes.

Seraama provides a professional registered office in Zug, one of Switzerland’s most commercially prominent canton addresses. Zug’s standing as a leading Swiss business hub, combined with its favourable corporate tax environment, makes it the preferred domicile for many international companies.

The registered office service is available as a standalone service or as part of our broader formation and resident director packages.
04

Swiss Compliance Retainer

Incorporating a Swiss company is only the beginning. Swiss law imposes ongoing corporate governance obligations that must be met to keep the company in good standing: annual general meetings, Commercial Register updates, proper bookkeeping, and compliance with applicable AML and sector-specific regulations.

Our compliance retainer service provides structured, ongoing support for companies that have already been incorporated and need a reliable professional partner to manage their Swiss legal maintenance.

What This Covers
Retainer scope and pricing are confirmed at engagement based on a short company profile questionnaire. We do not publish fixed rates, as complexity varies materially between clients.
05

Contract Law and Legal Templates

Commercial agreements are the legal backbone of any business. Seraama drafts, reviews, and negotiates commercial agreements for international business contexts. We also maintain a library of lawyer-drafted legal templates, available through our shop.

Bespoke drafting and negotiation:
Legal templates (Shop):
Our template library provides lawyer-drafted starting points for the most commonly required commercial documents. Each template is drafted for international use and includes guidance notes.
